Please read these terms carefully before engaging Hikmah Law or using this website. By submitting an enquiry or entering into an engagement, you agree to these terms.

1. Definitions

In these Terms and Conditions, the following terms carry the meanings set out below:

  • "Firm", "We", "Us", "Our" refers to Hikmah Law, a legal practice registered in Malaysia and operating from Suite 25-1, Menara Hikmah, Jalan Pinang, 50450 Kuala Lumpur.
  • "Client", "You", "Your" refers to any individual, company, or entity that contacts, engages, or uses the services of Hikmah Law.
  • "Services" means banking licence advisory, loan documentation review, regulatory compliance programmes, and any other legal or advisory service provided by the Firm.
  • "Website" means this website located at hiikmahlles.top and all associated pages.
  • "Engagement Letter" means the formal letter or agreement setting out the scope, fees, and terms of a specific matter.
  • "Content" means all text, documents, analyses, reports, and materials produced by the Firm in the course of providing Services.
  • "Agreement" means these Terms and Conditions together with any applicable Engagement Letter.

2. Acceptance of Terms

By submitting an enquiry through this Website, by engaging our Services, or by signing an Engagement Letter, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use this Website or engage our Services.

  • You must be at least 18 years of age or have the authority to enter into a binding legal agreement on behalf of a corporate entity.
  • Where you act on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

3. Service Description

Hikmah Law provides specialised legal advisory services in the field of banking and finance regulation under Malaysian law. Our services include:

  • Banking Licence Advisory — guidance on obtaining and maintaining licences issued by Bank Negara Malaysia under the Financial Services Act 2013 and the Islamic Financial Services Act 2013.
  • Loan Documentation Review — review, analysis, and negotiation of facility agreements, security documents, and related instruments.
  • Regulatory Compliance Programme — development and implementation of internal compliance frameworks aligned with BNM policy documents and the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLA).

Services are provided to clients based in Malaysia and internationally. Availability is subject to conflict checks and the Firm's capacity at the time of enquiry.

4. Engagement & Scope

All formal engagements are governed by an Engagement Letter which will set out the specific scope of work, fees, timelines, and any matter-specific terms. These Terms and Conditions apply in conjunction with, and subject to, the Engagement Letter.

  • The Firm reserves the right to decline any matter, including for conflict of interest or capacity reasons, without providing an explanation.
  • Work does not commence until an Engagement Letter has been executed by both parties and any required retainer has been received.
  • Scope changes must be agreed in writing and may result in revised fees.

5. Client Responsibilities

You agree to the following when using this Website or engaging our Services:

  • Provide complete, accurate, and timely information and instructions necessary for the Firm to carry out its work.
  • Notify the Firm promptly of any material changes to your circumstances that may affect the matter.
  • Use the Website only for lawful purposes and in a manner that does not infringe the rights of others.
  • Not misrepresent your identity, authority, or the nature of your matter.
  • Keep confidential any advice received and not publish, share, or distribute such advice without the Firm's prior written consent.

Prohibited activities: You must not attempt to gain unauthorised access to any part of this Website, transmit malicious code, or use automated tools to scrape content without permission.

6. Intellectual Property

All content on this Website — including text, layout, design, and branding — is owned by or licensed to Hikmah Law and protected under Malaysian intellectual property law. You may not reproduce, republish, or distribute any Website content without prior written consent.

Work product delivered under an Engagement Letter (such as legal opinions, compliance manuals, or review reports) is provided under a limited, non-exclusive licence for your internal use only in relation to the specific matter for which it was produced. It may not be relied upon by third parties unless the Firm provides separate written consent.

7. Fees & Payment

Indicative fee ranges are published on this Website for general guidance only. Actual fees are set out in the Engagement Letter and are quoted in Malaysian Ringgit (MYR) unless otherwise agreed.

  • Invoices are due within 14 days of the invoice date unless otherwise specified.
  • Late payments may attract interest at the rate specified in the Engagement Letter.
  • The Firm may suspend work on a matter if invoices remain outstanding beyond 30 days.

Refunds: Fees for work already performed are generally non-refundable. Retainer amounts not applied to work performed may be refunded at the Firm's discretion, subject to any applicable disbursements and administrative costs.

8. Confidentiality

The Firm treats all client information as strictly confidential in accordance with the Legal Profession Act 1976 and the rules of professional conduct applicable to advocates and solicitors in Malaysia. We will not disclose client information to any third party without your consent, except where required by law, court order, or regulatory obligation.

Clients are similarly expected to treat as confidential any internal processes, fee structures, or unpublished guidance provided by the Firm.

9. Disclaimers

The content on this Website is provided for general information purposes only. It does not constitute legal advice and should not be relied upon as such. No solicitor-client relationship is formed by your use of this Website alone.

  • Legal outcomes cannot be guaranteed. Results depend on facts, regulatory developments, and circumstances outside the Firm's control.
  • The Firm makes no warranty that the Website is free from errors, interruptions, or security vulnerabilities.
  • Links to third-party websites are provided for convenience only. The Firm is not responsible for the content or privacy practices of those sites.

10. Limitation of Liability

To the extent permitted by Malaysian law, the Firm's aggregate liability arising from or related to any engagement shall not exceed the total fees paid by you for the specific matter giving rise to the claim in the twelve months preceding the claim.

The Firm shall not be liable for indirect, consequential, special, or punitive losses — including loss of profit, loss of business, or reputational damage — arising from the provision of, or failure to provide, Services or Website access.

Nothing in these Terms limits liability for fraud, wilful misconduct, or any other matter that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Hikmah Law, its partners, and staff from any claims, losses, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or any false or misleading information provided to the Firm.

12. Termination

Either party may terminate an engagement by providing reasonable written notice as specified in the Engagement Letter. The Firm may terminate immediately if you breach a material term of the Agreement or if continuing the engagement would create a professional conflict or regulatory issue.

Upon termination, fees for work performed up to the termination date become immediately due. Provisions relating to confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms or any engagement shall first be referred to good-faith negotiations between the parties.

If the dispute is not resolved within 30 days of written notice, either party may refer the matter to the courts of Malaysia, with jurisdiction vested in the courts of Kuala Lumpur. You irrevocably submit to the jurisdiction of the Malaysian courts for such purposes.

Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

14. General Provisions

  • Entire Agreement: These Terms and any Engagement Letter constitute the entire agreement between the parties on the subject matter and supersede all prior representations, discussions, or agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: A failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
  • Assignment: You may not assign your rights or obligations under these Terms without prior written consent from the Firm. The Firm may assign or transfer obligations in connection with a merger, acquisition, or restructure.
  • Notices: Formal notices should be sent in writing to the Firm's registered address or to [email protected].

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practice, regulatory requirements, or applicable law. The revised Terms will be posted on this page with an updated effective date. Continued use of the Website or continued engagement with the Firm after changes become effective constitutes acceptance of the revised Terms.

For material changes affecting ongoing engagements, we will notify you directly.
